Definitions

In order to fully understand the AmpedUp! Networks Subscription Terms and Conditions, it is important to understand various definitions of related ensuing verbiage.

CSO

AmpedUp! Networks’ customers are referred to as Charging Station Operators (CSOs). Occasionally, the industry will refer to this entity as a Charge Point Operator (CPO) or Host. These customers own and operate charging stations that are configured, monitored and controlled via the AmpedUp! Networks network services and applications.

EV Driver

EV drivers are users of the AmpedUp! Networks’ services and applications and its CSO customers’ network of charging stations.

Subscriptions

A set of AmpedUp! Networks software licensing and services offerings and associated income and pricing options available to the AmpedUp! CSO customers that include Share, Small Business, Enterprise, and Enterprise Plus subscription types.

EV Driver Account Balance

A positive amount of money temporarily held in a non-interest bearing Stripe.com account by AmpedUp! Networks on behalf of the EV driver for the purpose of payment for the use of charging stations.

EV Driver Auto Add to Balance

The EV driver’s account balance is reduced real-time during EV driver EV charging session activities. The AmpedUp! Networks system will automatically charge the EV driver’s credit card, or other payment method on file, $15 when the balance drops below $5. If the cost of the service is more than the current balance, an additional amount of $15 will be automatically chargers to the EV driver's credit card. This “refill” mechanism is provided to allow for uninterrupted charging session service and prevents the possibility of system usage without payment.

EV driver payment information (ie: credit card) is never stored on the AmpedUp! platform. Instead, payment information is stored on the Stripe.com PCI compliant platform.

Note: The auto-add amount is a system wide figure (ie: $15) that may change without notice.

CSO Earned Income

Monies collected from EV Driver activity (charging session, idle fees, reservations, etc) that are held within an AmpedUp! Networks non-interest bearing financial account and owed to the CSO. Earned income, by default, is paid out to the CSO on a monthly basis, or, for Enterprise type subscription customers, on a predefined periodic or on-demand basis.

CSO Payments

Monies paid out, or transferred from, the AmpedUp! Networks financial account to the defined CSO bank account.

CSO Monthly Statement

A monthly financial statement supplied by AmpedUp! Networks reflecting the details and tallies of all earned income and billing items. Monthly statements can be viewed online by signing into the CSO account via the AmpedUp! Networks website or CSO mobile app and navigating to the Money>Statements section.

Subscription Terms and Conditions

When subscribed to an AmpedUp! Networks subscription, the CSO is subject to a number of earned income and billing items and their associated terms and conditions depending on the subscription type. Earned income and billing amounts are reported and tallied via a monthly statement available by signing into the AmpedUp! CSO website or mobile app. Each are listed and described below:

Earned Income Items

By subscribing to any of the AmpedUp! Networks subscription products, CSOs, based on the selected subscription type, can earn income based on various charging session activities performed by the EV driver. Those activities are listed and described below:

Charging Session Income

A CSO can define a price for EV charging sessions per charger port. One of any number of rates types and amounts can be applied to each port. Rate types include per kWh, per time period, or a fixed fee per session. Once the charging session begins, the system will either assess the fee at the beginning of the session if a flat rate is defined, or, if a per kWh or per time period rate is defined, it will accumulate fees for the duration of the session. Regardless, the charging session fees are deducted from the EV driver’s account balance real-time.

Idle Fee Income

In order to dissuade an EV driver from occupying a charging station parking spot beyond the charging session time, a CSO can apply an Idle fee. One of two rates types and amounts can be set to each charger port. Rate types include per time period, or a fixed fee. After a grace period, the Idle fee will begin to accumulate the set fees and deduct them from the EV driver’s account balance real-time. When the driver disconnects from the port, the fees will cease to accumulate.

Minimum Fee Income

To discourage an EV drivers from charging their vehicle for a small amount of time and for a small fee, a CSO can apply an Minimum fee. A specified minimum fee will be assessed as soon as the driver plugs in and authenticates. The fee is a fixed amount that the CSO can define in a pricing schedule. This fee type is only applicable to the per kWh rate type. The total amount charged will either be the accumulated per kWh fee, or the minimum amount fee, whichever is greater.

Reservation Income

A CSO can provide an EV driver the ability to reserve a charger port for a specified time period. The CSO can apply a one-time, fixed price for reservations per charger. The reservation amount is deducted from the EV driver’s account balance once the driver places a reservation. It can be canceled by the EV driver up to 24 hours prior to the reservation time whereby the reservation amount will be added back to the account balance.

Billing Items

CSO billing items are defined based on the subscription type selected. The Enterprise subscription type is flexible and is subject to a negotiated contractual agreement between AmpedUp! Networks and the CSO. See the Subscription Type Options and Pricing Details section below for more information on specific pricing per subscription type.

Below are descriptions of the various billing items applicable to one or more subscription types.

One-time Per Port Activation Fee

For Enterprise customers only, a per port configuration and activation fee is assessed and must be paid prior to system usage. An AmpedUp! representative will work with the CSO’s EV charger installer/technician and assigned CSO manager to configure and ensure expected and proper operation and setup of each charger and its associated ports. Note that this fee will not be reflected in the CSO monthly statement and is billed separately.

Subscription Fees

There are multiple potential subscription fees based on the subscription type. Each are listed below:

Fixed Per Port Fee

A fixed per port fee (billed monthly or yearly) may be assessed depending on the subscription type or Enterprise agreement. This fee covers usage licensing and maintenance of the AmpedUp! Networks Charging Station Management System (CSMS) and its associated EV Driver and CSO website and mobile apps.

Percent of Earned Income Monthly Fee

A percent of earned income fee may be assessed depending on the subscription type or Enterprise agreement. This fee covers usage licensing and maintenance of the AmpedUp! Networks Charging Station Management System (CSMS) and its associated EV Driver and CSO website and mobile apps. This method of payment is akin to a “revenue share” model many CSO customers prefer.

Fixed Per kWh of Use Fee

For Enterprise subscriptions, a fixed per kWh of charging session use fee may be assessed depending on the subscription type or Enterprise agreement. This fee covers usage licensing and maintenance of the AmpedUp! Networks Charging Station Management System (CSMS) and its associated EV Driver and CSO website and mobile apps. This method of payment is akin to a “revenue share” model many CSO customers prefer.

EV Driver Brand Identity Per Port Fee

For Enterprise subscriptions, a fixed per port fee (billed monthly or yearly) may be assessed depending on the Enterprise CSO Agreement) your corporate brand can be prominently displayed on the charging station details and charging screens within the AmpedUp! EV Driver app for chargers owned by you. This is particularly useful for public users or those that are already part of the AmpedUp! Networks network. In addition, support information and a link to your webpage can be included in the branding.

Cellular Internet Service Fee

For Enterprise or Small-biz subscriptions, a fixed Internet service fee (billed monthly or yearly) for cellular service may be assessed per charging station, or group of charging stations depending on the number of chargers deployed and environment requirements. Additional connectivity gateway equipment may be required for Internet connections. Equipment costs incur a one-time fee per setup and are billed separately. For optimal reliability and support, AmpedUp! Networks prefers to provide Internet connectivity, however, the CSO may provide this if desired.

Payment Kiosk Merchant Service Fee

For Enterprise subscriptions, if an AmpedUp! evPayMatetm payment kiosk device is installed, a fixed, per port, merchant service fee is assessed monthly or yearly. This fee covers 24/7 device monitoring, EV driver support, and PCI, 3DES (TDEA) encrypted processing of EMV credit card or mobile wallet transactions.

Payment Kiosk Payout Fee

For Enterprise subscriptions, on a pre-defined periodic basis (monthly by default), income generated from the AmpedUp! evPayMatetm payment kiosks is paid out to the bank account defined by the CSO during the onboarding process. There are two methods of payouts related to payment kiosk income depending on the onboarding requirements. These include automated and manual.

Transaction, Dispute, Refund, and Payout Fees

CSO Driver Support and Transaction Fees

In order for an EV driver to pay for charging session activities, they will maintain an account “Balance” with AmpedUp! Networks. The balance needs to be positive in order to use the charging services. Any deduction to the balance due to charging session activities, incurs a driver support and transaction fee of 10.5% of the total assessed amount. For example, if a charging session cost the EV driver $10, the fees for that session would be $1.05. These support and transaction fees are paid by the CSO and are reflected in the CSO monthly statement on an aggregate basis. These fees covers bank fees, 24/7 EV driver support, and CSO white-glove services.

CSO Dispute Resolution and Customer (EV driver) Refund Funds Fees

Starting January 1st, 2024, in the event of a dispute arising from or relating to EV driver charging session transactions associated to a particular CSO account, a Dispute Fee of $15.00 + Stripe processing fee (USD) per incident ("Dispute Fee") will be assessed and charged during the next scheduled AmpedUp! payout. In addition, all charging session fees assessed to the driver related to the dispute will be reversed. The CSO has the option to request AmpedUp! challenge the disputed amount using formal resolution procedures via the Stripe platform with the EV driver's bank in an effort to reverse the disputed amount. There is a $5 per innocent fee for this service.

In addition, in the case where an EV driver requests an approved refund for a charging session transaction associated to a particular CSO account, a Customer Refund Fee of $5.00 (USD) per incident ("Refund Fee") will be assessed and charged during the next billing cycle..

CSO Payouts

By default, AmpedUp! Networks will distribute accumulated CSO earned income to the CSO’s financial institution of choice (set up in the AmpedUp! CSO website or app) on a monthly basis by default. Enterprise CSO customers have the option to choose other periodic scheduling or they can initiate a manual payout via the AmpedUp! CSO app. For each payout, a $5.00 bank fee will be assessed and will appear on the monthly statement*.

For income generated from the AmpedUp! evPayMatetm payment kiosk, those funds are handled by a separate merchant processor and are independent of the standard fund payouts as described previously. There are two payout methods for payment kiosk income: automated and manual. A $5.00 fee will be assessed for each automated payout which is deducted from the payout amount. A $15.00 fee will be assessed for each manual payout which is billed annually via invoice.

* Note that the payout fees assessed by AmpedUp! Networks do not include any fees the CSO may incur from the receiving financial institution.

Billing Schedules and Rules

Billing history will be reflected in the CSO monthly statement. Specific billing amounts are defined in the Subscription Type Options and Pricing Details section of this document. Note the following billing schedules and rules:

  1. For non-Enterprise subscriptions, all AmpedUp! subscription fees (ie: per port, percent of earned income, cellular internet service, etc) are due on the first of each month for the previous month’s service.
  2. For Enterprise subscriptions only, per port and cellular Internet fees are due in the first month for the following year of service and are billed separately. All other fees are due in accordance to non-Enterprise subscriptions.
  3. All bank fees (CSO earned income bank fees and CSO payment bank fees) are assessed upon each CSO payment transfer.
  4. All due subscription fees and transaction fees are deducted from the current earned income amount upon CSO payouts transfer.
  5. For the Small Business plan, if there is not sufficient earned income funds to cover the billing items for the prior period, the difference will be charged to the CSO credit card or ACH account on file.
  6. All Share plan fees and bank fees will be deducted monthly if the earned income amount exceeds the billing items total.
  7. CSO payout transfers may take up to two (2) business days to complete.
  8. There is a minimum CSO manual payout transfer amount of $10 (Enterprise subscriptions only).
  9. All prior AmpedUp! service fees (ie: per port, percent of earned income fees, etc) must be paid in full in order to initiate manual payout transfers (Enterprise subscriptions only).
  10. A new manual payout transfer cannot be initiated until pending transfers are complete (Enterprise subscriptions only).
  11. Current earned income amounts do not include pending CSO payout transfer amounts.
  12. A valid credit card must be on file to initiate any CSO payment transfer.

Subscription Type Options and Pricing Details

AmpedUp! Networks offers several subscription types that appeal to different levels of charging station operators. Each subscription type has varying earned income and billing terms and conditions. Below describes the earned income and billing options for each type and their associated pricing.

Share Plan

Share CSO subscribers can earn income based on EV driver charging sessions. The maximum number of charging stations (ports) in this plan is two (2). Idle Fee and Reservation features are not available for this subscriber type.

Small Business Plan

Small Business CSO subscribers can earn income based on EV driver charging sessions and Idle fees. The maximum number of charging stations (ports) in this plan is four (4). One membership is available. Reservation features are not available for this subscriber type.

Enterprise/Enterprise Plus Plan

Enterprise/Enterprise Plus CSO subscribers can earn income based on EV driver charging sessions, idle fees, and reservation fees. Demand/response and power management features are available in the Enterprise Plus Plan only. The maximum number of charging stations (ports) in these plans is unlimited.
